Founding Member Terms

THE LILYPAD INITIATIVE

Effective Date: May 18, 2026, The Lilypad Initiative LLC, Sarasota, Florida

These Founding Member Terms apply to all individuals accepted into The Lilypad Initiative as Founding Hosts or Founding Guests during our launch phase. By submitting an application and accepting membership you confirm that you have read, understood, and agreed to these terms in full.

SECTION 1 — WHAT IS A FOUNDING MEMBER?

Lily's Founding Members are the first women who believed in this community before the rest of the world caught on. They joined early, during our launch phase, and their participation directly shapes the culture, standards, and future of The Lilypad Initiative.

Founding Member status is permanent. It cannot be purchased after the founding cohort closes. It is earned by being one of the first.

Founding Host cohort: Limited to the first 20 approved Hosts Founding Guest cohort: Limited to the first 25 approved Guests

Once all spots in either cohort are filled, Founding Member enrollment for that role closes permanently.

SECTION 2 — FOUNDING HOST BENEFITS

Hosts accepted into the Founding Host cohort receive the following permanent benefits:

2.1 Launch Membership Fee Founding Hosts pay a one-time membership fee of $99 to activate their Lily membership. This covers profile activation, compatibility assessment, Space Accuracy Certification review, and access to Lily's curated introduction network.

2.2 Grandfathered Pricing For Life Founding Hosts are permanently grandfathered at the $99 membership fee. After the founding cohort closes, standard Host membership pricing increases to $299. Founding Hosts will never pay more than $99 per membership activation for as long as they remain in good standing.

2.3 Re-listing Privilege Founding Hosts may re-list their space after a Guest departure at no additional membership fee, provided their Founding Member status is maintained in good standing.

2.4 Verified Founder Badge Founding Hosts receive a permanent Verified Founder Host badge on their Lily profile. This badge signals to Guests that this Host was among the first to build and believe in the Lily community.

2.5 Founding Member Recognition The Lilypad Initiative is committed to honoring the women who helped build this community from the ground up. As Lily grows, Founding Hosts will be recognized through:

Dedicated acknowledgment in Lily's community communications
Verified Founder badge displayed on their profile within the introduction network
First consideration for any featured Host opportunities as Lily's platform develops
Access to Lily's private Founding Member community

Lily will reach out individually to Founding Hosts regarding specific recognition opportunities as they become available. Participation in any public recognition is always optional and requires explicit written consent.

2.6 Early Access Founding Hosts receive first access to new Lily features, new city launch announcements, and platform updates before the general membership.

SECTION 3 — FOUNDING GUEST BENEFITS

Guests accepted into the Founding Guest cohort receive the following permanent benefits:

3.1 Complimentary Launch Membership Founding Guests pay no membership fee during the launch phase. Standard Guest membership pricing after the founding cohort closes is $59 per membership activation.

3.2 Lifetime Re-Entry Privilege Founding Guests may return to Lily for future introductions at a permanent re-entry fee of $29, regardless of what standard Guest pricing becomes in the future. This privilege never expires.

3.3 Background Screening Validity Founding Guest background screening remains valid for 12 months from the date of completion. A new screening is required after 12 months or upon re-entry if the previous screening has expired.

3.4 Verified Founder Badge Founding Guests receive a permanent Verified Founder Guest badge on their Lily profile, signaling to Hosts that this Guest was among the first to help build the Lily community.

3.5 Priority Introduction Access Founding Guests receive priority access to curated introductions during the launch phase.

3.6 Early Access Founding Guests receive first access to new Lily features, new city launch announcements, and platform updates before the general membership.

3.7 Founding Member Community Access Founding Guests receive access to Lily's private Founding Member community, a dedicated space for direct connection with Lily's leadership and fellow founding members.

SECTION 4 — MAINTAINING FOUNDING MEMBER STATUS

Founding Member status is permanent but it is also a privilege that comes with responsibility. Status is maintained provided the following conditions are met:

4.1 Community Standards Compliance All Founding Members must uphold Lily's Community Standards at all times. The Community Standards document is available at thelilypadinitiative.com/community-standards and forms part of every Founding Member agreement.

4.2 Review Standards Founding Hosts must maintain a minimum 3.0 star average across Guest departure reviews. Founding Guests must maintain a minimum 3.0 star average across Host departure reviews. Reviews are submitted by the departing or receiving party at the conclusion of each shared living arrangement.

4.3 Honest Representation All Founding Members must represent themselves, their space, and their circumstances honestly at all times on the Lily platform.

4.4 Active Engagement Founding Members who have not engaged with the Lily platform for 24 consecutive months may be moved to inactive status. Lily will provide 30 days written notice before any status change.

SECTION 5 — FOUNDING BADGE REVOCATION

The Verified Founder badge may be revoked under the following circumstances:

5.1 Grounds for Revocation

Review average falls below 3.0 stars across two or more arrangements
A formal complaint is filed and upheld after Lily's review process
Violation of Lily's Community Standards
Misrepresentation of identity, space, or circumstances on the platform
Any Zero Tolerance violation as defined in Lily's Community Standards

5.2 Revocation Does Not Mean Removal Badge revocation does not automatically result in removal from the platform. Lily will determine appropriate action based on the nature and severity of the circumstances.

5.3 Zero Tolerance Violations Any Zero Tolerance violation as defined in Lily's Community Standards results in immediate removal from the platform with no appeal, including permanent forfeiture of Founding Member status and all associated benefits.

5.4 Appeal Process For non-zero-tolerance badge revocations, members have 14 days from notification to submit a written appeal to support@thelilypadinitiative.com. Lily will review and respond within 7 business days. Lily's determination following the appeal review is final.

SECTION 6 — FEES AND PAYMENTS

6.1 Background Screening Fee All Founding Members, both Hosts and Guests, are responsible for their own background screening fee, paid directly to TransUnion. This fee is set by TransUnion and is not collected by Lily. Current screening fees are approximately $40. Please verify current pricing directly with TransUnion before applying.

6.2 Membership Fee Non-Refundable The $99 Founding Host membership fee is non-refundable once membership is activated. If an application is declined before activation, no fee is charged.

6.3 Founding Guest — No Fee Founding Guests pay no membership fee during the launch phase. Background screening fees apply as described in Section 6.1.

6.4 Re-Entry Fee Founding Guests returning to Lily for future introductions pay a permanent re-entry fee of $29 per membership activation, regardless of standard pricing at the time of return.

6.5 No Monthly Fees There are currently no monthly subscription fees for Founding Members. Lily reserves the right to introduce optional premium features in the future. Founding Members will never be required to pay for features that were included at the time of their founding enrollment.

SECTION 7 — THE INTRODUCTION PROCESS

7.1 Lily's Role Lily is a private concierge membership network. Our role is to verify members and facilitate compatible introductions for shared living. Lily does not place, assign, or direct housing decisions on behalf of any member.

7.2 No Guaranteed Introductions Lily cannot guarantee the availability or timing of introductions. Introductions depend on compatible member availability within the network at any given time.

7.3 Independent Decision Making All housing decisions are made independently by both parties. Lily facilitates the introduction and members make their own choices.

7.4 Re-Introduction Process If a shared living arrangement is not working, members may submit a Re-Match Request through Lily's platform. Founding Members receive one complimentary re-introduction facilitation. Re-introduction is subject to availability and timelines cannot be guaranteed.

SECTION 8 — LILY'S ROLE AND LIMITATIONS

8.1 Platform Only The Lilypad Initiative is a private membership network. Lily is not a real estate broker, property manager, landlord, leasing company, or tenant representative.

8.2 No Legal or Financial Advice Nothing on Lily's platform, including these terms, FAQ responses, resource documents, or support communications, constitutes legal, financial, or real estate advice. Members are strongly encouraged to consult qualified professionals for guidance specific to their situation.

8.3 Not a Party to Arrangements Lily is not a party to any shared living arrangement between members. All arrangements are made independently between Host and Guest.

8.4 No Financial Role Lily does not collect, handle, or manage rent, security deposits, or any financial transactions between members.

SECTION 9 — PRIVACY

9.1 Member Information Lily collects member information for the purpose of verification, compatibility assessment, and introduction facilitation. Member information is never sold to third parties.

9.2 Profile Visibility Member profiles are visible only to approved members within the Lily network. Profiles are never publicly searchable.

9.3 Photo and Video Submissions Host Space Accuracy submissions are reviewed by Lily's support team and shared with prospective Guests only during the introduction process. Submissions are stored securely and not shared beyond this purpose.

9.4 Full Privacy Policy Lily's full Privacy Policy is available at thelilypadinitiative.com/privacy-policy.

SECTION 10 — AMENDMENTS

10.1 Right to Amend Lily reserves the right to update these Founding Member Terms at any time with a minimum of 30 days written notice to all Founding Members via email.

10.2 Core Benefits Protected The following core Founding Member benefits cannot be revoked without individual member consent:

Founding Host grandfathered pricing of $99
Founding Guest lifetime re-entry pricing of $29
Verified Founder badge, unless revoked under Section 5

10.3 Continued Participation Continued participation on the Lily platform following notification of amended terms constitutes acceptance of the updated terms.

SECTION 11 — GENERAL TERMS

11.1 Non-Transferable Founding Member status is personal and non-transferable. It cannot be sold, gifted, or assigned to another person under any circumstances.

11.2 Governing Law These terms are governed by the laws of the State of Florida. Any disputes arising from these terms shall be subject to the jurisdiction of the courts of Hillsborough County, Florida.

11.3 Entire Agreement These Founding Member Terms, together with Lily's Community Standards, constitute the entire agreement between The Lilypad Initiative and its Founding Members regarding founding membership. They supersede any prior communications or representations.

11.4 Severability If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force and effect.

SECTION 12 — ACKNOWLEDGMENT

By applying to The Lilypad Initiative as a Founding Host or Founding Guest, and by activating your membership, you confirm that you have read, understood, and agreed to these Founding Member Terms and Lily's Community Standards in full.
