TERMS OF SERVICE

IMPORTANT: PLEASE READ THESE TERMS CAREFULLY.
By creating an account or using The Lilypad Initiative LLC platform, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use Lily.
1. ACCEPTANCE OF TERMS
These Terms of Service ("Terms") are a legally binding agreement between you and The Lilypad Initiative LLC, a Florida limited liability company ("Lily," "we," "us," or "our"). These Terms govern your access to and use of the Lily platform, including our website at www.thelilypadinitiative.com and any related services (collectively, the "Platform").
By clicking "I Agree," creating an account, or using the Platform in any way, you agree to these Terms and our Privacy Policy, which is incorporated by reference. If you are using Lily on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
You must be at least 18 years old to use Lily. By using the Platform, you represent and warrant that you are 18 years of age or older.
2. DESCRIPTION OF SERVICE
2.1 What Lily Is
Lily is a private women's membership network that connects women seeking compatible shared living arrangements ("Guests") with women offering space in their homes ("Hosts"). Lily provides tools for creating member profiles, facilitating compatibility assessments, conducting background screening, coordinating introductions between compatible members, and providing optional educational resources, templates, and general member communications.
2.2 What Lily Is NOT:
Lily is a platform that facilitates introductions between independent third parties. The shared living arrangement is between you and the other member. Lily’s primary role is facilitating introductions and providing platform-based resources to members. Lily is not a party to any housing arrangement or agreement between members. Lily is not responsible for the conduct of any member or the quality, safety, or legality of any housing arrangement.
Lily is NOT:
• A landlord, property manager, or housing provider
• A party to any shared living agreement, lease, sublease, or roommate agreement between members
• A guarantor of housing quality, safety, habitability, or availability
• A real estate broker, agent, or licensed housing professional
• An employment agency or background screening agency (Lily uses third-party providers)
• A mediator, arbitrator, or dispute resolution service between members
• A financial institution or handler of rent, deposits, or payments between members
2.3 Service Model
Lily operates as a private concierge membership network. All members undergo verification requirements before any introduction is facilitated. Lily's service includes member application review, background screening coordination, compatibility assessment, Space Accuracy Certification review for Hosts, and curated introductions between compatible members. Lily does not operate as a listing platform, rental marketplace, or tenant placement service.
2.4 Women-Focused Platform
Lily is designed as a private membership platform intended to support women seeking shared living arrangements and compatibility-based introductions.
Certain shared living arrangements may fall within exemptions or legal frameworks distinct from traditional housing marketplaces. Members remain solely responsible for ensuring their own housing decisions and arrangements comply with applicable federal, state, and local laws.
Membership eligibility criteria may be updated or modified as required by applicable law.
2.5 No Guarantee of Matches, Introductions, or Housing Outcomes
Membership in Lily does not guarantee approval, acceptance into the Platform, availability of introductions, number of introductions, successful matches, housing placement, compatibility outcomes, or the successful formation or continuation of any shared living arrangement.
Membership fees are paid for access to Lily’s private network, onboarding, verification processes, compatibility tools, and related platform services only.
3. ACCOUNT REGISTRATION AND RESPONSIBILITIES
3.1 Account Creation To use Lily, you must create an account and provide accurate, complete, and current information. You agree to:
• Provide your real legal name, email address, and all other required information
• Keep your account information accurate and up to date at all times
• Maintain the confidentiality of your account credentials and password
• Notify Lily immediately at support@thelilypadinitiative.com if you suspect unauthorized use of your account
• Accept responsibility for all activity that occurs under your account
3.2 Eligibility
You represent and warrant that you:
• Are at least 18 years of age
• Have the legal capacity to enter into a binding contract
• Are not prohibited from using the Platform under any applicable law
• Have not been previously banned, suspended, or removed from Lily
• Meet Lily’s current membership eligibility requirements, as described in our Membership Policy.
3.3 Account Suspension or Termination
Lily reserves the right to suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, engaged in illegal or harmful conduct, provided false information, or for any other reason at our
sole discretion. You may also request account deletion at any time by contacting support@thelilypadinitiative.com.
3.4 Communications Consent
By creating an account or using the Platform, you consent to receive communications from Lily related to your membership and use of the Platform, including but not limited to:
• Account verification and onboarding communications• Transactional emails and payment confirmations• Match or introduction notifications• Membership updates and platform announcements• Security alerts and account notices• Customer support communications
You may opt out of promotional or marketing communications at any time using the unsubscribe link provided in such communications or by contacting Lily directly. However, you may not opt out of essential transactional, security, or account-related communications necessary for your continued use of the Platform.
4. USER CONDUCT AND PROHIBITED ACTIVITIES
4.1 Acceptable Use
You agree to use Lily only for lawful purposes and in accordance with these Terms. You are solely responsible for your conduct, communications, and content while using the Platform.
4.2 Prohibited Conduct
You may NOT:
• Provide false, misleading, or fraudulent information at any stage of the membership process
• Impersonate another person or entity or misrepresent your identity or affiliation
• Use the Platform for any illegal purpose or to facilitate illegal activity of any kind
• Post content that is defamatory, harassing, abusive, discriminatory, threatening, or hateful
• Post sexually explicit, exploitative, or inappropriate content of any kind
• Post content that promotes violence, self-harm, or dangerous activities
• Solicit money, engage in financial scams, or conduct unauthorized commercial activities
• Use the Platform for commercial purposes unrelated to shared living arrangements
• Attempt to gain unauthorized access to the Platform, other member accounts, or Lily's systems
• Use automated tools, bots, scrapers, or similar methods to access or collect data from the Platform
• Interfere with, disrupt, or compromise the integrity or operation of the Platform
• Violate any applicable local, state, federal, or international law or regulation
4.3 Fair Housing Compliance
Lily is committed to fair housing principles. All members must comply with applicable federal, state, and local fair housing laws. Specifically:
• Hosts may NOT discriminate on the basis of race, color, national origin, religion, disability, familial status, or any other characteristic protected under applicable law
• All listings and profile representations must comply with the Fair Housing Act and applicable state and local fair housing ordinances
• Members may express genuine lifestyle and compatibility preferences through Lily's compatibility assessment process, but may not use the Platform to engage in unlawful discriminatory conduct
4.4 Content Moderation
Lily reserves the right to review, monitor, and remove any content or member profile that violates these Terms or that
Lily determines, in its sole discretion, is harmful, offensive, inaccurate, or otherwise inappropriate. Lily may report
illegal activity to appropriate law enforcement authorities.
5. BACKGROUND SCREENING AND SAFETY MEASURES
5.1 Background Screening Requirement
All Guests and Hosts are required to consent to and complete a background screening conducted by a third-party Consumer Reporting Agency (CRA) in compliance with the Fair Credit Reporting Act (FCRA). By using Lily, you agree to provide your consent separately in an FCRA-compliant disclosure and authorization form provided by the third-party screening provider. Background screening fees are paid directly by the member to the third-party provider and are not collected by Lily.
5.2 What Background Screening May Include
• National criminal database search
• Sex offender registry check
• Identity verification
• Eviction records where applicable
5.3 Use of Background Screening Results
Lily uses background screening results to evaluate whether a member may safely participate on the Platform. Lily may deny or suspend access based on screening results. Where required by applicable law, Lily and/or its third-party screening providers will follow applicable adverse action procedures.
5.4 Limitations of Background Screening
Background screening is not infallible. Results rely on publicly available records and may not include recent activity, out-of-state records, or information recorded under different names. Lily does NOT guarantee the accuracy or completeness of background screening results. Members are responsible for conducting their own independent due diligence before entering into any shared living arrangement.
5.5 Space Accuracy Certification (Hosts Only)
As a condition of Host membership, Hosts are required to complete Lily's Space Accuracy Certification process, which includes submission of a self-recorded video tour and timestamped photographs of their space, together with a signed declaration confirming that their submission accurately represents the space and meets Lily's community safety standards. This process is a platform quality and membership standard only. It does NOT constitute a professional property inspection, building code certification, habitability assessment, or guarantee of any kind.
Completion of the Space Accuracy Certification process does not represent that the property complies with all applicable housing laws or local ordinances.
6. MEMBERSHIP FEES AND PAYMENTS
6.1 Membership Fees
Lily charges membership fees for access to the Platform, as follows:
• Founding Host Membership: One-time fee of $99 (available to first 20 approved Hosts during launch phase)
• Standard Host Membership: One-time fee of $299 (applicable after founding cohort closes)
• Founding Guest Membership: Complimentary during launch phase (available to first 25 approved Guests)
• Standard Guest Membership: One-time fee of $59 (applicable after founding cohort closes)
• Founding Guest Re-Entry: Permanent re-entry fee of $29 per membership activation for qualifying Founding Guests
Except where required by law or otherwise approved by Lily in its sole discretion, membership fees are non-refundable once activated. Lily may change its pricing at any time, but changes will not affect fees already paid. Founding Member pricing is grandfathered as described in Lily's Founding Member Terms.
6.2 Background Screening Fees
Background screening fees are paid directly by members to the third-party screening provider and are not collected by Lily. Current screening fees are set by the provider and are subject to change. Members should verify current pricing directly with the screening provider before applying.
6.3 Payment Processing
All payments to Lily are processed through a third-party payment processor. By providing payment information, you authorize Lily to charge your payment method for all applicable fees. You represent and warrant that you have the legal right to use the payment method provided.
6.4 Taxes
You are responsible for all applicable taxes arising from your use of the Platform. Lily will collect and remit taxes as required by applicable law.
6.5 No Rent or Housing Payment Processing
Lily does NOT collect, process, hold, or transmit rent payments, security deposits, utility payments, or any other financial transactions between Guests and Hosts.
All housing-related financial arrangements are made directly between members. Lily is not responsible for any disputes, non-payment, fraud, or issues arising from financial arrangements between members.
7. INTELLECTUAL PROPERTY
7.1 Lily's Intellectual Property The Platform, including all content, features, functionality, software, trademarks, logos, service marks, and designs, is owned by The Lilypad Initiative LLC and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from any part of the Platform without Lily's express prior written permission.
7.2 Member Content
You retain ownership of any content you submit to the Platform, including profile information, photographs, and communications. However, by submitting content, you grant Lily a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, display, and distribute your content solely in connection with operating and improving the Platform. You represent and warrant that you own or have the necessary rights to submit your content and that your content does not violate any third-party rights or applicable laws.
7.3 Feedback
If you provide feedback, suggestions, or ideas regarding the Platform, you grant Lily the right to use that feedback without restriction or any obligation to you.
8. DISCLAIMERS AND LIMITATIONS OF LIABILITY
8.1 Platform Provided AS IS
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. LILY DOES NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS, WILL BE AVAILABLE AT ALL TIMES, OR WILL BE SECURE, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.
8.2 No Guarantee of Safety or Compatibility
LILY CONDUCTS BACKGROUND SCREENING AND SPACE ACCURACY CERTIFICATION REVIEWS AS PLATFORM QUALITY MEASURES, BUT LILY DOES NOT AND CANNOT GUARANTEE THE SAFETY, TRUSTWORTHINESS, COMPATIBILITY, SUITABILITY, OR CONDUCT OF ANY MEMBER OR THE QUALITY, HABITABILITY, SAFETY, OR LEGALITY OF ANY PROPERTY OR SHARED LIVING ARRANGEMENT. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING ANY POTENTIAL HOUSEMATE OR HOUSING ARRANGEMENT AND FOR TAKING ALL NECESSARY PRECAUTIONS TO PROTECT YOURSELF.
8.3 Third-Party Content and Services
The Platform may contain links to or references to third-party websites, services, or resources, including but not limited to background screening providers, legal resources, and payment processors. Lily is not responsible for the availability, accuracy, content, or practices of these third-party services. Your use of third-party services is at your own risk and subject to their own terms and policies.
8.3 Member Interactions and Housing Arrangements
Members are solely responsible for evaluating any potential shared living arrangement, housemate, Host, Guest, or property opportunity introduced through the Platform.
Lily is not responsible for disputes, injuries, losses, damages, theft, personal conflicts, property issues, housing disagreements, personal safety incidents, or other claims arising from or related to:
• Interactions between members
• Shared living arrangements entered into by members
• Housing agreements, occupancy arrangements, or lease-related decisions between members
Members assume all risks associated with meeting, communicating with, living with, or entering into agreements with other members.
8.4 Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LILY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA,
GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF LILY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL LILY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE PLATFORM EXCEED THE AMOUNT YOU PAID TO LILY IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
8.5 State-Specific Limitations
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations may not apply to you, and Lily's liability will be limited to the maximum extent permitted by applicable law.
9. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Lily and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or related to:
• Your use of or access to the Platform
• Your violation of any provision of these Terms
• Your violation of any rights of another person or entity
• Any shared living arrangement you enter into with another member
• Any content you submit to the Platform
• Any dispute between you and another member
• Any misrepresentation made by you in connection with your use of the Platform
10. DISPUTE RESOLUTION AND ARBITRATION
10.1 Informal Resolution First
If you have a dispute with Lily, you agree to first contact us at support@thelilypadinitiative.com and attempt to resolve the issue informally. Lily will work in good faith to address your concern within 30 days of receipt.
10.2 Binding Arbitration
If a dispute cannot be resolved informally, you agree that any claim, dispute, or controversy arising out of or relating to these Terms or the Platform ("Dispute") will be resolved through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration will be conducted in Sarasota County, Florida, or remotely via videoconference if both parties agree. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
10.3 Class Action Waiver
YOU AND LILY AGREE THAT ANY DISPUTE WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY, AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST LILY.
10.4 Exceptions to Arbitration
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or to prevent imminent harm that cannot be adequately remedied through arbitration. Additionally, disputes involving claims of $10,000 or less may be brought in small claims court in Hillsborough County, Florida.
10.5 Opt-Out Right
You have the right to opt out of the binding arbitration agreement outlined in this Section by sending written notice to support@thelilypadinitiative.com within 30 days of first accepting these Terms. If you opt out, any Dispute will be resolved exclusively in the state or federal courts located in Sarasota County, Florida, and both parties consent to the personal jurisdiction of those courts.
11. TERMINATION
11.1 Termination by You
You may request termination of your account at any time by contacting support@thelilypadinitiative.com. Upon account termination, your access to the Platform will be revoked and your personal data will be handled in accordance with Lily's Privacy Policy.
11.2 Termination by Lily
Lily may suspend or terminate your account and membership at any time, with or without notice, if Lily believes you have violated these Terms, engaged in illegal or harmful conduct, provided false or misleading information, or for any other reason at Lily's sole discretion. Lily is not liable for any damages resulting from such termination. Membership fees paid prior to termination are non-refundable.
11.3 Effect of Termination
Upon termination of your account, all rights granted to you under these Terms will immediately cease. Provisions that by their nature should survive termination, including but not limited to disclaimers, limitations of liability, indemnification, intellectual property, and dispute resolution provisions, will remain in full force and effect.
12. CHANGES TO THESE TERMS
Lily may update these Terms from time to time to reflect changes in our practices, legal requirements, or Platform features. When Lily makes significant changes, we will notify you by posting the updated Terms on the Platform with a new effective date, sending an email notification to active account holders, and displaying a prominent notice on the Platform. Your continued use of the Platform after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Platform and may request account deletion.
13. GENERAL PROVISIONS
13.1 Governing Law These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. The arbitration agreement in Section 10 is governed by the Federal Arbitration Act.
13.2 Entire Agreement These Terms, together with Lily's Privacy Policy, Founding Member Terms, and Community Standards, constitute the entire agreement between you and Lily regarding the Platform and supersede all prior agreements, understandings, and communications relating to the subject matter herein.
13.3 Severability If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving the intent of the original provision.
13.4 Waiver Lily's failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. Any waiver of any provision must be in writing and duly authorized by Lily.
13.5 Assignment You may not assign or transfer these Terms or your account rights without Lily's prior written consent. Lily may assign or transfer these Terms or any rights or obligations hereunder at any time without notice to you.
13.6 Force Majeure Lily will not be liable for any failure or delay in performance due to circumstances beyond Lily's reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, fire, floods, natural disasters, pandemics, government actions, or failures of third-party service providers.
13.7 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights except as expressly stated herein.
